These Terms and Conditions ("Terms") govern your access to and use of the Teamstack platform ("Platform"), operated by ZentryxGT ("Company", "we", "our", or "us").
By accessing or using the Platform, you agree to be bound by these Terms.
1. Definitions
For the purposes of these Terms:
- Platform refers to Teamstack and related services, dashboards, and applications—including scheduling, availability, payroll and export tools, attendance (including optional clock-out), notifications, and progressive web app delivery where offered.
- Organization refers to any company, institution, or group using the Platform.
- User refers to any individual accessing the Platform through an Organization or individual account.
- Administrator refers to a User granted administrative privileges within an Organization.
2. Eligibility
You must be at least 18 years old to create an account or use the Platform.
By using the Platform, you confirm that you have the legal authority to enter into this agreement on behalf of yourself or your Organization.
3. Platform Access
We grant Users a limited, non-exclusive, non-transferable license to access and use the Platform for legitimate operational, educational, or organizational management purposes.
Users must not:
- Copy, distribute, or reproduce any part of the Platform
- Reverse engineer or attempt to extract the source code
- Use the Platform for illegal or unauthorized activities
All rights not expressly granted are reserved by ZentryxGT.
4. Account Responsibilities
Users are responsible for maintaining the confidentiality of their login credentials.
You agree to:
- Provide accurate and up-to-date information
- Maintain the security of your account
- Notify your Organization administrator or the Company of unauthorized use
Organizations are responsible for managing their Users and ensuring appropriate access permissions.
5. Acceptable Use
Users must not:
- Attempt to bypass platform security controls
- Interfere with or disrupt platform operations
- Upload harmful, malicious, or fraudulent content
- Use the Platform to harass, abuse, or exploit others
Violations may result in suspension or termination of access.
6. Organization Administration
Organizations using the Platform may designate Administrators who can:
- Manage user accounts
- Assign roles and permissions
- Configure divisions, sites, and sessions
Administrators are responsible for managing their organization's data and users within the Platform.
7. Subscriptions and Billing
Certain features of the Platform may require a paid subscription.
Payments are processed through Stripe.
By purchasing a subscription, you agree that:
- Subscriptions may renew automatically unless cancelled
- Pricing and plan features may change with reasonable notice
- Failure to complete payment may result in restricted platform access
Refund policies, if applicable, will be described on the Platform.
8. Customer Data
Organizations retain ownership of the data they upload or manage within the Platform.
By using the Platform, you grant the Company permission to store and process this data solely for the purpose of providing the service.
We implement reasonable security measures to protect platform data.
9. Privacy
Use of the Platform is also governed by our Privacy Policy.
Personal data will be handled in accordance with applicable data protection laws, including the General Data Protection Regulation where applicable.
10. Service Availability
We aim to provide reliable platform access but do not guarantee uninterrupted service.
Service may be temporarily unavailable due to:
- system maintenance
- updates
- technical issues
- external service interruptions
We reserve the right to modify or discontinue features at any time.
11. Intellectual Property
All platform software, design, trademarks, and technology remain the exclusive property of ZentryxGT.
Users are granted a license to use the Platform but do not acquire ownership of any intellectual property.
12. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for:
- indirect or consequential damages
- business interruption
- loss of data or profits
The total liability of the Company for any claim related to the Platform shall not exceed the amount paid by the User or Organization for the service in the preceding 12 months.
13. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind.
We do not guarantee that:
- the Platform will always be available
- the Platform will be error-free
- the Platform will meet every organizational requirement
Users assume responsibility for operational decisions made using the Platform.
14. Termination
We reserve the right to suspend or terminate access if:
- these Terms are violated
- fraudulent or harmful behavior is detected
- required payments are not completed
Organizations may terminate their accounts at any time according to subscription policies.
15. Changes to Terms
We may update these Terms from time to time.
Continued use of the Platform after changes are published constitutes acceptance of the updated Terms.
16. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.
Any disputes arising under these Terms will be subject to the jurisdiction of the courts of England and Wales.
